The 4 things that quietly kill most dental practice purchases (and what experienced buyers do instead)

Here's what the buyers who get it right do differently:

They get their personal finances in order first. 
Banks don't just look at the practice: they look at you. High credit card balances, a thin savings history, and weak associate accounts will sink a loan application before the practice is even on the table. The buyers who get funded look like a safe bet on paper long before they make an offer.

They stop chasing the dream postcode. Central London sounds glamorous until you run the demographics. The best practices are often in places you've never heard of, and buyers are willing to widen the map to find them. NHS vs private mix, local demand, family vs young professional patient base, all matter more than the street name.

They treat due diligence as the deal, not a formality. Selling agents will always make the practice look like the best thing on the market. Due diligence is how you find out what's actually true: the associate agreements, the lease term (banks match loan terms to lease terms, so a 2-year lease means a 2-year loan), the goodwill question, and the staffing contracts. Most deals that go wrong go wrong here.

They hire a dental-specific solicitor, not just any solicitor. CQC transfers, NHS contract notice periods (the NHS wants notice within 28 days of the first of the month; miss it and your purchase stalls or collapses), goodwill structures, a general commercial solicitor will not know these. We've seen practice purchases lost over exactly this.

The buyers who close cleanly aren't lucky. They've just done the boring work everyone else skips.
